Binding Legal Agreement

By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and any other applicable policies.
If you are accessing or using our services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms and Conditions. If you do not have such authority or if you do not agree with these Terms and Conditions, you must not accept this agreement and may not use our services.
User Obligations and Responsibilities
Compliance with Laws
You agree to use our services only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards. This includes, but is not limited to, compliance with anti-money laundering regulations, sanctions laws, securities regulations, and data protection laws. You are solely responsible for ensuring that your use of our blockchain development services complies with all applicable legal requirements in your jurisdiction.
Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using our services to facilitate illegal activities, including fraud, money laundering, or terrorist financing
- Creating, deploying, or promoting smart contracts that violate laws or infringe upon intellectual property rights
- Misrepresenting your identity, affiliation, or the purpose of your blockchain project
- Attempting to reverse engineer, decompile, or disassemble our proprietary tools and methodologies
- Interfering with or disrupting the integrity or performance of our services or systems
- Transmitting any harmful code, including viruses, worms, or malware
- Using automated systems or scripts to access our services without authorization
- Engaging in any activity that could harm the reputation or business interests of Chain Logic
Content Guidelines
You are responsible for all content, information, and materials you provide to us or submit through our services. You represent and warrant that you own or have the necessary rights to all content you provide, and that such content does not violate any third-party rights or applicable laws. You agree not to submit content that is defamatory, obscene, threatening, harassing, or otherwise objectionable.
Indemnification
You agree to indemnify, defend, and hold harmless Chain Logic, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising out of or relating to your use of our services, your violation of these Terms and Conditions, your violation of any rights of another party, or your violation of any applicable laws or regulations.
Disclaimers and Warranties
No Warranty
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, Chain Logic disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected.
Blockchain Technology Risks
You acknowledge that blockchain technology and cryptocurrency markets involve inherent risks, including but not limited to technology failures, security vulnerabilities, regulatory changes, market volatility, and potential loss of funds. Chain Logic makes no representations or warranties regarding the success, functionality, security, or value of any blockchain applications, smart contracts, or cryptocurrency projects developed using our services.
Third-Party Services
Our services may integrate with or rely on third-party blockchain networks, protocols, and services. We make no warranties or representations regarding the performance, reliability, or availability of such third-party services. We are not responsible for any disruptions, failures, or security breaches affecting third-party services.
Professional Advice Disclaimer
The information and services provided by Chain Logic are for technical development purposes only and do not constitute financial, legal, tax, or investment advice. You should consult with qualified professionals regarding financial, legal, regulatory, and tax matters related to blockchain projects and cryptocurrency activities. We are not responsible for any decisions you make based on information or services provided through our platform.
Limitation of Liability
To the maximum extent permitted by applicable law, Chain Logic and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, our services
- Any conduct or content of any third party on our services
- Unauthorized access, use, or alteration of your data or content
- Bugs, errors, or vulnerabilities in smart contracts or blockchain applications
- Market fluctuations, regulatory changes, or other external factors affecting blockchain projects
- Any other matter relating to our services
In no event shall Chain Logic's total liability to you for all damages, losses, and causes of action exceed the amount paid by you to Chain Logic in the twelve months preceding the event giving rise to liability, or ¥100,000, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations and exclusions may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
Force Majeure
Chain Logic shall not be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, wars, terrorism, civil unrest, labor disputes, governmental actions, internet or telecommunications failures, power outages, blockchain network congestion or failures, or any other events that could not have been prevented by reasonable precautions.
In the event of a force majeure situation, we will make reasonable efforts to notify you and resume performance as soon as practicable. If the force majeure event continues for more than 30 days, either party may terminate the affected service agreement without liability.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms and Conditions or our services shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.
You agree to submit to the personal jurisdiction of such courts and waive any objection to the venue of any proceeding in such courts. Notwithstanding the foregoing, Chain Logic may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Dispute Resolution
Informal Resolution
Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us and providing a detailed description of the dispute. We will make good faith efforts to resolve the matter within 30 days of receiving your notice.
Arbitration
If informal resolution is unsuccessful, either party may initiate binding arbitration in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitration shall be conducted in Tokyo, Japan, in the Japanese or English language, as mutually agreed by the parties. The decision of the arbitrator shall be final and binding on both parties.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration against Chain Logic.
Severability and Waiver
Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If modification is not possible, the invalid provision shall be severed, and the remaining provisions shall continue in full force and effect.
No Waiver
The failure of Chain Logic to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver by Chain Logic of any term or condition shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and Chain Logic regarding your use of our services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
Any additional or different terms proposed by you are expressly rejected unless explicitly agreed to in writing by an authorized representative of Chain Logic. These Terms and Conditions may not be modified except as provided herein or through a written amendment signed by both parties.
Assignment and Transfer
You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Chain Logic may assign or transfer these Terms and Conditions, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms and Conditions shall be binding upon and inure to the benefit of both parties and their respective successors and permitted assigns.
Modifications to Terms
We reserve the right to modify, update, or replace these Terms and Conditions at any time at our sole discretion. Material changes will be communicated through prominent notice on our website or via email to registered users. Your continued use of our services following the posting of changes constitutes acceptance of those changes.
